By accessing or using the Platform, you agree to be bound by these Terms.

Brightwill does not:

  1. Act as a real estate broker or agent
  2. Represent buyers or sellers
  3. Provide investment, legal, tax, or financial advice
  4. Participate in negotiations, pricing, contracts, or transactions


All decisions, evaluations, and transactions occur independently and directly between users and third parties.


4. No Reliance; Informational Use Only


All information on the Platform is provided for general informational purposes only.


While we aim to curate high-quality content, Brightwill:

  1. Does not guarantee accuracy, completeness, or current status
  2. Makes no representations regarding pricing, availability, specifications, or timelines
  3. Disclaims any obligation to update information


You agree that you do not rely on the Platform as the basis for any financial, legal, or investment decision.

Such content is supplied by developers, owners, or third parties. Brightwill is not responsible for errors, omissions, or changes in third-party materials.


6. Introductions and Compensation Disclosure


Brightwill may facilitate introductions between users and developers or authorized representatives, either manually or through automated means.


Brightwill may receive compensation, including:

  1. Referral fees
  2. Marketing fees
  3. Success-based fees


Such compensation:

  1. Does not create an agency, brokerage, or fiduciary relationship
  2. Does not constitute advice or endorsement
  3. Does not affect your independence in evaluating opportunities

7. No Agency or Fiduciary Relationship

Use of the Platform does not create:

  1. An agency relationship
  2. A brokerage relationship
  3. A partnership or joint venture
  4. A fiduciary duty


Brightwill owes no duty of loyalty, care, or disclosure beyond these Terms.

You agree not to:

All Platform content, branding, and materials are owned by or licensed to Brightwill and may not be copied, reproduced, or distributed without written permission.


10. Limitation of Liability


To the maximum extent permitted by law, Brightwill shall not be liable for:

  1. Any indirect, incidental, or consequential damages
  2. Any losses arising from third-party actions or omissions
  3. Any decisions or transactions made independently by users


11. Termination and Access


Brightwill reserves the right, in its sole discretion, to:

  1. Restrict or terminate access
  2. Remove users
  3. Modify or discontinue the Platform
  4. without notice or liability


12. Governing Law and Venue


These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles.


Any dispute shall be brought exclusively in the state or federal courts located in Miami-Dade County, Florida.


13. Changes to These Terms


Brightwill may update these Terms at any time. Continued use of the Platform constitutes acceptance of the updated Terms.
